1. Introduction
Welcome to MacropageConnect, a cloud-based Software-as-a-Service (SaaS) platform developed and operated by MR TECH SOLUTIONS PRIVATE LIMITED ("Company", "MacropageConnect", "we", "our", or "us").
MacropageConnect provides businesses with technology solutions including, but not limited to:
- WhatsApp Business API Platform
- Shared Team Inbox
- Chatbot Automation
- AI-powered Customer Support (where enabled)
- Broadcast Messaging
- Marketing Campaign Management
- CRM Integrations
- Webhooks & APIs
- Customer Analytics
- Multi-agent Collaboration
- Business Communication Tools
These Terms of Service ("Terms") govern your access to and use of our website, software, APIs, mobile applications, dashboards, integrations, and all related services (collectively, the "Services").
By registering an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree with these Terms, you must not access or use the Services.
2. Definitions
For the purposes of these Terms:
"Account" means the registered account created to access the Services. "Customer" means any individual, business, organization, or entity using the Services. "Platform" means the MacropageConnect software, dashboard, APIs, website, and related applications. "Subscription" means a paid or free plan providing access to specific features. "WhatsApp Business Platform" means the messaging platform provided by Meta Platforms, Inc. "Conversation Charges" means the fees charged by Meta for WhatsApp Business conversations. "Enterprise Customer" means a business customer using enterprise-level plans or custom agreements. "Content" includes messages, contacts, templates, files, media, documents, reports, and other information uploaded or transmitted through the Platform.
3. Eligibility
To use MacropageConnect, you must:
- Be at least 18 years of age or the legal age of majority in your jurisdiction.
- Have the legal authority to enter into a binding agreement.
- Provide accurate and complete registration information.
- Use the Services for lawful business purposes only.
- Comply with all applicable laws and regulations.
If you are registering on behalf of a company or organization, you represent that you have the authority to bind that organization to these Terms.
4. Account Registration
To access certain Services, you must create an account.
During registration, you agree to:
- Provide true, accurate, and complete information.
- Keep your account information up to date.
- Maintain the confidentiality of your login credentials.
- Notify us immediately of any unauthorized use of your account.
- Accept responsibility for all activities conducted under your account.
MacropageConnect reserves the right to suspend or terminate accounts that contain false, misleading, or incomplete information.
5. Verification Requirements
Certain features, including WhatsApp Business API activation, may require:
- Business verification.
- Identity verification.
- Meta Business Manager verification.
- Phone number verification.
- Compliance with Meta's onboarding requirements.
Approval of such verification processes is solely at the discretion of Meta or the relevant third-party provider.
MacropageConnect cannot guarantee successful verification or activation.
6. Subscription Plans
MacropageConnect offers various subscription plans, which may include:
- Free Trial Plans
- Starter Plans
- Professional Plans
- Business Plans
- Enterprise Plans
- Custom Plans
Each plan includes different features, usage limits, pricing, and support levels.
Plan details are available on our website or as otherwise communicated by the Company.
7. Subscription Auto-Renewal
Unless cancelled before the renewal date, paid subscriptions will automatically renew for the same billing cycle.
By purchasing a subscription, you authorize MacropageConnect or its payment processor to charge the applicable subscription fees using your selected payment method.
Customers are responsible for ensuring that valid payment information remains on file.
Failure to process payment may result in suspension or termination of Services.
8. Billing and Payments
Customers agree to pay all applicable fees associated with their subscription.
Fees may include:
- Subscription charges.
- WhatsApp conversation charges.
- Add-on services.
- API usage charges.
- Professional service fees.
- Applicable taxes, including GST where required.
Payments are processed through authorized third-party payment gateways.
MacropageConnect does not store complete payment card details.
9. GST and Taxes
Where applicable under Indian law:
- GST will be charged on taxable services.
- Valid GST invoices will be issued.
- Customers are responsible for providing accurate GST information.
- International customers may be subject to local taxes according to their jurisdiction.
Failure to provide valid tax information may affect invoicing and compliance.
10. Pricing Changes
MacropageConnect reserves the right to modify:
- Subscription pricing.
- Add-on pricing.
- Enterprise pricing.
- Usage-based fees.
- Platform charges.
We will provide reasonable notice before material pricing changes become effective.
Continued use of the Services after the effective date constitutes acceptance of the revised pricing.
11. Meta Conversation Charges
MacropageConnect provides access to the WhatsApp Business Platform, which may include conversation-based pricing determined by Meta.
Customers acknowledge that:
- Conversation pricing is established by Meta, not MacropageConnect.
- Meta may revise pricing at any time.
- Such revisions may automatically affect customer billing.
- MacropageConnect is not responsible for pricing changes introduced by Meta.
Customers are responsible for reviewing applicable pricing before using the Services.
12. Free Trial
Where offered, free trials are provided solely for evaluation purposes.
MacropageConnect reserves the right to:
- Limit trial duration.
- Restrict available features.
- End or modify trial programs at any time.
- Require payment information before activation.
Upon expiration of the trial, continued access may require the purchase of a paid subscription.
13. Acceptable Use
MacropageConnect is intended to facilitate legitimate business communications. Customers agree to use the Services responsibly, ethically, and in compliance with all applicable laws, regulations, and platform policies.
You agree not to use the Services for any unlawful, harmful, fraudulent, deceptive, or abusive purpose.
All use of the Platform must comply with these Terms, Meta's WhatsApp Business Platform policies, and applicable legal requirements.
14. Customer Responsibilities
As a customer of MacropageConnect, you are solely responsible for:
- Maintaining the confidentiality of your account credentials.
- Ensuring all information provided to us is accurate and up to date.
- Obtaining valid customer consent (opt-in) before sending WhatsApp messages.
- Managing your employees' or agents' access to the Platform.
- Ensuring compliance with all applicable laws relating to privacy, marketing, and electronic communications.
- Reviewing AI-generated content before sending it to end users.
- Keeping adequate backups of your own business records where necessary.
You remain responsible for all activities performed using your account, whether carried out by you, your employees, contractors, or other authorized users.
15. WhatsApp Business API Compliance
MacropageConnect provides technology that enables businesses to use the WhatsApp Business Platform. Customers acknowledge that access to WhatsApp services is ultimately governed by Meta.
You agree to:
- Comply with Meta's WhatsApp Business Messaging Policy.
- Use only approved message templates where required.
- Respect customer opt-out requests without unnecessary delay.
- Maintain accurate business information in your Meta Business Account.
- Use WhatsApp Business solely for legitimate business communications.
MacropageConnect cannot modify or override decisions made by Meta regarding account verification, messaging restrictions, template approvals, quality ratings, or account suspensions.
16. Customer Opt-In Requirement
Before sending any promotional, transactional, or service-related WhatsApp message, customers must obtain valid consent from the recipient.
Such consent should be:
- Freely given.
- Specific.
- Informed.
- Verifiable.
- Revocable.
Customers are solely responsible for maintaining records demonstrating that appropriate consent has been obtained.
MacropageConnect may request evidence of customer consent if complaints or investigations arise.
17. Prohibited Activities
You must not use MacropageConnect to:
- Send spam or unsolicited messages.
- Purchase or use unauthorized contact databases.
- Mislead or impersonate individuals or organizations.
- Promote illegal products or services.
- Transmit malware, viruses, or malicious software.
- Engage in phishing or fraudulent activities.
- Circumvent security mechanisms.
- Interfere with the normal operation of the Platform.
- Attempt unauthorized access to any account or system.
- Use the Platform in violation of sanctions or export control laws.
- Upload unlawful, defamatory, obscene, hateful, or infringing content.
- Use automated systems that overload or abuse the Platform.
Violation of this section may result in immediate suspension or termination of your account without prior notice.
18. Spam Prevention
MacropageConnect maintains a strict anti-spam policy.
Customers must not:
- Send unsolicited bulk messages.
- Repeatedly contact recipients who have opted out.
- Misrepresent the purpose of communications.
- Artificially inflate engagement metrics.
- Use deceptive marketing practices.
Where spam complaints are received, we reserve the right to investigate and take appropriate action, including temporary suspension or permanent termination of Services.
19. Template Approval Disclaimer
Message templates used on the WhatsApp Business Platform require approval from Meta.
MacropageConnect:
- Does not guarantee template approval.
- Cannot influence Meta's review decisions.
- Is not responsible for template rejections.
- Is not liable for delays caused by Meta's approval process.
Customers remain responsible for ensuring that submitted templates comply with Meta's requirements.
20. Artificial Intelligence Features
Where AI-powered features are available, they are intended to assist customers in generating responses, automating workflows, or improving productivity.
Customers acknowledge that:
- AI-generated content may contain inaccuracies.
- AI responses should be reviewed before use.
- MacropageConnect does not guarantee the correctness or suitability of AI-generated content.
- Customers remain solely responsible for all communications sent through the Platform.
AI features should not be relied upon for legal, medical, financial, or other professional advice.
21. Third-Party Integrations
MacropageConnect may support integrations with third-party services, including:
- CRM platforms.
- Payment gateways.
- Analytics tools.
- ERP systems.
- Customer support software.
- Marketing automation platforms.
- Cloud storage services.
Use of these integrations is subject to the respective third party's terms and privacy policies.
MacropageConnect is not responsible for the availability, functionality, or security of third-party services.
22. API Usage
Customers using our APIs agree to:
- Use API credentials securely.
- Not share API keys with unauthorized persons.
- Avoid excessive or abusive API requests.
- Respect applicable rate limits.
- Use APIs only for lawful purposes.
- Not attempt to reverse engineer or exploit the Platform.
MacropageConnect may suspend or revoke API access where misuse is detected.
23. Intellectual Property
All rights, title, and interest in the MacropageConnect Platform, including its software, source code, user interface, branding, documentation, graphics, trademarks, logos, and other intellectual property, remain the exclusive property of MR TECH SOLUTIONS PRIVATE LIMITED or its licensors.
Nothing in these Terms grants you ownership of the Platform or its intellectual property.
Customers receive only a limited, non-exclusive, non-transferable, revocable license to access and use the Services during an active subscription.
You may not:
- Copy or reproduce the Platform.
- Modify or create derivative works.
- Reverse engineer the software.
- Sell, sublicense, lease, or redistribute the Platform.
- Remove copyright or trademark notices.
24. Customer Content
Customers retain ownership of the business data, messages, contact lists, media, and other content they upload to the Platform.
By using MacropageConnect, you grant us a limited license to process, store, transmit, and display such content solely to provide the Services.
You represent and warrant that:
- You own or have the necessary rights to the content you upload.
- Your content does not infringe the rights of any third party.
- Your content complies with applicable laws and these Terms.
25. Service Availability
MacropageConnect is designed to provide a reliable cloud-based platform. While we strive to maintain high availability, we do not guarantee uninterrupted or error-free operation of the Services.
Service availability may be affected by:
- Scheduled maintenance.
- Emergency maintenance.
- Internet service interruptions.
- Power outages.
- Cloud infrastructure failures.
- Meta (WhatsApp Business Platform) outages.
- Third-party service disruptions.
- Force majeure events.
We will make commercially reasonable efforts to minimize downtime and restore services promptly.
26. Scheduled Maintenance
To ensure platform security, stability, and performance, MacropageConnect may perform scheduled maintenance from time to time.
During maintenance:
- Certain features may be temporarily unavailable.
- API requests may be delayed.
- Dashboard access may be restricted.
- Integrations may experience temporary interruptions.
Where practical, advance notice will be provided through email, the dashboard, or other communication channels.
Emergency maintenance may be performed without prior notice if required to protect the Platform or its users.
27. Data Backup Disclaimer
MacropageConnect maintains operational backups to support business continuity and disaster recovery. However:
- Customers are responsible for maintaining their own backups of important business data.
- We do not guarantee recovery of deleted messages, contacts, templates, or campaign data.
- Backup schedules and retention periods may vary based on technical and operational requirements.
To the fullest extent permitted by law, MacropageConnect shall not be liable for any loss of data resulting from customer actions, third-party failures, or unforeseen technical events.
28. Service Modifications
We reserve the right to:
- Add new features.
- Modify existing functionality.
- Improve system performance.
- Change user interfaces.
- Introduce security enhancements.
- Discontinue obsolete features.
Such changes may occur without prior notice where necessary for security, legal compliance, or operational reasons.
Material changes affecting customer use of the Platform will be communicated through reasonable means whenever practicable.
29. Suspension of Services
MacropageConnect may suspend access to all or part of the Services immediately if:
- You violate these Terms.
- Payment remains overdue.
- Fraudulent activity is suspected.
- Spam complaints are received.
- Your account is compromised.
- Meta suspends or restricts your WhatsApp Business Account.
- Required legal or regulatory action is necessary.
Where appropriate, we may provide an opportunity to resolve the issue before permanent suspension.
30. Termination
Either party may terminate the Services in accordance with the applicable subscription terms.
MacropageConnect may terminate your account if:
- You repeatedly violate these Terms.
- You engage in unlawful activities.
- You misuse the Platform.
- You intentionally compromise platform security.
- You infringe intellectual property rights.
- You provide false or misleading information.
- Your continued use poses a risk to the Platform or other customers.
Upon termination:
- Your access to the Platform will cease.
- Active subscriptions may end.
- Certain data may be deleted in accordance with our Privacy Policy.
- Outstanding payments will remain payable.
31. Refund and Cancellation
Subscription cancellations and refunds are governed by our separate Refund & Cancellation Policy.
Unless otherwise stated:
- Subscription fees are generally non-refundable.
- Partial billing periods are not eligible for proportional refunds.
- WhatsApp conversation charges incurred through Meta are non-refundable.
- Setup fees, onboarding charges, implementation services, and custom development fees are non-refundable once work has commenced.
Exceptions may apply where required by applicable law or as expressly approved by MacropageConnect.
32. Chargebacks
Customers agree not to initiate chargebacks or payment disputes without first contacting MacropageConnect to attempt resolution.
If a chargeback is initiated:
- We may suspend your account.
- Outstanding balances may become immediately due.
- Collection or legal action may be initiated where appropriate.
- Future access to the Platform may be restricted.
Fraudulent chargebacks may be reported to relevant payment processors and authorities where permitted by law.
33. Enterprise Customer Obligations
Enterprise customers may be subject to additional contractual obligations, including:
- Custom pricing agreements.
- Service-level commitments.
- Dedicated support arrangements.
- Security assessments.
- Compliance requirements.
- Custom integrations.
Where a separately executed Enterprise Agreement exists, its terms shall prevail in the event of any conflict with these Terms.
34. Confidentiality
Each party agrees to maintain the confidentiality of non-public information disclosed during the course of the business relationship.
Confidential information includes, but is not limited to:
- Business strategies.
- Pricing information.
- Technical documentation.
- Source code.
- Security procedures.
- Customer lists.
- Trade secrets.
Confidential information shall not be disclosed except:
- With prior written consent.
- To authorized employees or contractors with a need to know.
- Where disclosure is required by applicable law.
These obligations continue even after termination of the Services.
35. Feedback and Suggestions
We welcome customer feedback regarding the Platform.
If you provide suggestions, feature requests, or recommendations, you grant MacropageConnect a worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback into our Services without compensation or attribution.
36. Beta Features
From time to time, MacropageConnect may offer beta, preview, or experimental features.
These features:
- May be incomplete.
- May contain bugs or errors.
- May be modified or withdrawn at any time.
- Are provided "as is" without warranties.
Use of beta features is entirely at your own risk.
37. Disclaimer of Warranties
MacropageConnect is provided on an "AS IS" and "AS AVAILABLE" basis.
To the maximum extent permitted under applicable law, MR TECH SOLUTIONS PRIVATE LIMITED expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or completeness of information
- Continuous availability of the Services
- Compatibility with third-party software or platforms
We do not warrant that:
- The Services will operate without interruption or error.
- The Platform will always be secure or free from vulnerabilities.
- All defects or bugs will be corrected immediately.
- Messages will always be delivered successfully.
- Meta will approve message templates or business verification requests.
Customers acknowledge that message delivery depends on multiple third-party providers, including Meta, internet service providers, and telecommunications networks.
38. Limitation of Liability
To the fullest extent permitted by law, MR TECH SOLUTIONS PRIVATE LIMITED, its directors, officers, employees, affiliates, licensors, partners, and agents shall not be liable for any:
- Indirect damages
- Incidental damages
- Special damages
- Consequential damages
- Punitive damages
- Loss of profits
- Loss of revenue
- Loss of business opportunities
- Loss of goodwill
- Loss or corruption of data
- Business interruption
This limitation applies regardless of the legal theory under which the claim arises, including contract, negligence, strict liability, or otherwise.
Our total aggregate liability arising out of or relating to the Services shall not exceed the total subscription fees paid by the Customer to MacropageConnect during the three (3) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes liability where such exclusion is prohibited by applicable law.
39. Indemnification
You agree to defend, indemnify, and hold harmless MR TECH SOLUTIONS PRIVATE LIMITED, its directors, officers, employees, affiliates, licensors, and partners from and against any claims, damages, liabilities, costs, expenses, fines, penalties, or legal fees arising out of or relating to:
- Your use of the Services.
- Violation of these Terms.
- Breach of applicable laws or regulations.
- Violation of Meta's policies.
- Infringement of third-party intellectual property rights.
- Improper use of customer data.
- Unauthorized messaging activities.
- Spam complaints.
- Misrepresentation by you or your users.
This obligation survives termination of your account.
40. Force Majeure
MacropageConnect shall not be liable for any delay, interruption, or failure to perform its obligations where such failure results from circumstances beyond our reasonable control, including but not limited to:
- Natural disasters
- Floods
- Earthquakes
- Fire
- War
- Terrorist acts
- Civil unrest
- Government restrictions
- Epidemics or pandemics
- Labour disputes
- Power failures
- Internet outages
- Cyberattacks
- Cloud infrastructure failures
- Failures or outages of Meta's services or other third-party providers
During a Force Majeure event, our obligations will be suspended for the duration of the event.
41. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
42. Dispute Resolution
The parties shall first attempt to resolve any dispute through good-faith negotiations.
If the dispute cannot be resolved amicably within 30 days, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996.
Unless otherwise agreed:
- The seat of arbitration shall be Durg, Chhattisgarh, India.
- The proceedings shall be conducted in English.
- The arbitral award shall be final and binding on both parties.
Nothing in this section prevents either party from seeking interim or injunctive relief from a court of competent jurisdiction.
43. Notices
Any notices required under these Terms shall be provided:
- By email to the registered email address associated with your account.
- Through notifications within the MacropageConnect dashboard.
- By publication on our official website where appropriate.
Customers are responsible for ensuring that their contact details remain accurate and up to date.
44. Assignment
Customers may not assign or transfer their rights or obligations under these Terms without the prior written consent of MR TECH SOLUTIONS PRIVATE LIMITED.
MacropageConnect may assign or transfer its rights and obligations in connection with a merger, acquisition, corporate restructuring, or sale of assets, subject to applicable law.
45. Severability
If any provision of these Terms is held by a court or tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
The invalid provision shall be interpreted or modified to the minimum extent necessary to make it enforceable while preserving its original intent.
46. Waiver
Failure by MacropageConnect to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other rights under these Terms.
Any waiver shall be effective only if made in writing by an authorized representative of the Company.
47. Entire Agreement
These Terms, together with our Privacy Policy, Refund & Cancellation Policy, Cookie Policy, and any other policies published by MacropageConnect, constitute the entire agreement between you and MR TECH SOLUTIONS PRIVATE LIMITED regarding the use of the Services.
They supersede all prior discussions, communications, proposals, or agreements relating to the subject matter.
48. Amendments
MacropageConnect reserves the right to update or modify these Terms at any time.
Where changes are material, we will provide reasonable notice through:
- Dashboard notifications
- Website announcements
Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of those changes.
